By accessing or using Oravys websites, platforms, APIs, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms in their entirety, you are prohibited from using the Services.

These Terms apply to all users, including visitors, registered users, and premium subscribers. By continuing to use the Services after any modifications to these Terms, you accept such changes.

2. Eligibility and Account Requirements

You must be at least 18 years old or the age of majority in your jurisdiction.
You must have the legal authority to enter into this agreement.
You confirm authority to bind any organization on whose behalf you use the Services.
You agree to provide accurate, current, and complete information during registration.

3. Account Security and Responsibility

You are solely responsible for:

Safeguarding your login credentials and maintaining account security.
All activities that occur under your account.
Immediately notifying us of any unauthorized use or security breaches.
Ensuring your contact information remains current and accurate.

🔒 Security Best Practices: Use strong, unique passwords and enable two-factor authentication when available. We implement advanced security measures but cannot guarantee absolute security.

4. Intellectual Property Rights

The Services, including all software, algorithms, machine learning models, voice analysis methods, user interfaces, designs, text, graphics, audio outputs, and other content ("Oravys IP") are exclusively owned by Oravys and protected by copyright, patent, trademark, and other intellectual property laws.

Except as expressly permitted in writing, you may not:

Copy, modify, distribute, or create derivative works of Oravys IP.
Reverse engineer, decompile, or attempt to extract source code.
Remove, alter, or obscure any proprietary notices.
Use our trademarks without explicit written authorization.

5. License Grant and Restrictions

Subject to your compliance with these Terms, Oravys grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services solely for their intended purposes.

This license automatically terminates upon breach of these Terms or termination of your account.

6. User Data and Voice Processing Rights

Critical: By uploading or generating any voice sample, audio file, transcription, or related data ("User Data"), you grant Oravys specific processing rights as detailed below.

You grant Oravys a worldwide, royalty-free license to:

Host and Process: Store and analyze User Data to provide Services.
Secure and Improve: Use data for security monitoring and service enhancement.
Research: Conduct R&D using anonymized or aggregated insights.
Legal Compliance: Retain data as required by applicable law.

We do not sell personal data. Anonymized insights may be used for commercial research purposes.

7. Acceptable Use Policy

You agree not to:

Upload unlawful, infringing, defamatory, harmful, or malicious content.
Interfere with or circumvent security measures or access controls.
Scrape, bulk export, or benchmark our Services without written permission.
Use outputs to train competing AI models without explicit authorization.
Attempt to gain unauthorized access to our systems or other users' accounts.
Violate any applicable laws or regulations.

Violations may result in immediate account suspension and legal action.

8. Third-Party Services and Integrations

The Services may integrate with or link to third-party products, websites, or services. These third parties operate independently and are governed by their own terms and privacy policies. Oravys is not responsible for third-party terms, policies, availability, or actions.

9. Beta Features and Experimental Services

Features marked as alpha, beta, preview, or experimental ("Beta Features") are:

Provided "as is" without warranties or service level commitments.
Subject to change, limitation, or discontinuation without notice.
Excluded from any service level agreements or uptime guarantees.
Not recommended for production or business-critical applications.

10. Payment Terms and Billing

For paid Services:

Fees are charged in advance and are non-refundable unless required by law.
You authorize automatic billing to your payment method.
Price changes require 30 days advance notice.
Overdue accounts may be suspended after notice and cure period.

11. Service Availability and Support

While we strive for high availability, we do not guarantee uninterrupted or error-free service. Scheduled maintenance will be announced in advance when possible. Support is provided according to your service level agreement.

12. Disclaimers of Warranties

IMPORTANT: The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.

Oravys disclaims all warranties including but not limited to:

Merchantability and fitness for a particular purpose.
Non-infringement of third-party rights.
Accuracy, reliability, or completeness of results.
Uninterrupted or error-free operation.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

Oravys shall not be liable for indirect, incidental, special, consequential, or punitive damages.
Our total liability will not exceed the amounts paid by you in the twelve months preceding the claim, or $100 if no payments were made.
This limitation applies regardless of the theory of liability.

14. Indemnification

You agree to defend, indemnify, and hold harmless Oravys and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

Your use of the Services or User Data.
Your violation of these Terms.
Your violation of any third-party rights.
Any negligent or wrongful conduct.

15. Suspension and Termination

Oravys may suspend or terminate your access immediately for:

Breach of these Terms.
Non-payment of fees.
Risk to service security or integrity.
Legal or regulatory compliance requirements.

Upon termination, all licenses granted to you cease immediately, and you must discontinue use of the Services.

16. Data Retention After Termination

Following account termination:

User Data may be retained for up to 90 days for recovery purposes.
Legal and compliance data may be retained as required by law.
Anonymized data may be retained indefinitely for research.

17. Governing Law and Dispute Resolution

These terms are governed by the laws of [JURISDICTION] without regard to conflict of law principles. Any disputes will be resolved through binding arbitration in [LOCATION] under [ARBITRATION RULES].

Before initiating formal proceedings, parties agree to attempt good-faith resolution through direct negotiation for 30 days.

19. Changes to Terms

20. Severability and Entire Agreement

If any provision is deemed unenforceable, the remainder remains in full force and effect. These Terms, together with our Privacy Policy, constitute the complete agreement between you and Oravys.

21. Assignment and Transfer

You may not assign or transfer these Terms without our written consent. Oravys may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.
